These Terms of Use ("Terms") govern your access to and use of the website-hosted user interface currently available at leveracc.xyz (the "Platform") and are entered into between you and MetaStellar Technology Ltd ("Company," "we," "us," or "our"), a company incorporated and operating under the laws of Hong Kong.

By accessing or using the Platform, registering an account, depositing funds, or otherwise engaging with our services, you confirm that you have read, understand, and agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.

1. Introduction

1.1. The Platform.

The Platform provides users with access to leveraged trading and other cryptocurrency-related services, including but not limited to spot trading, derivatives, and perpetual contracts, and is integrated with decentralized protocols such as Hyperliquid. We operate as a centralized platform that facilitates user interactions with cryptocurrency markets. Unlike fully decentralized systems, the Platform employs a custodial model for funds management, as detailed in Section 4. All services are provided subject to these Terms and applicable laws.

You acknowledge that cryptocurrency trading involves significant risks, including volatility, potential total loss of funds, and regulatory uncertainties. By using the Platform, you agree that your activities are at your own risk, and we disclaim any liability for losses arising from market movements, system failures, or other events.

1.2. On-Chain Transactions and Off-Chain Processing

Leveraged trading on the Platform is executed on-chain via Hyperliquid's decentralized infrastructure. Where applicable, on-chain transactions become irreversible once confirmed on the blockchain. We expressly disclaim any liability for losses or damages arising from or related to any interactions with Hyperliquid or its protocols through our interface. You are solely responsible for all transaction costs, including gas fees for on-chain activities and any fees imposed by the Platform. Off-chain processing includes, but is not limited to, calculations for take-profit/stop-loss levels (with actual setup and execution performed on Hyperliquid) and intelligent dynamic token pair selection for the Lottery feature. Unless explicitly stated otherwise, we may act as an intermediary for certain trades but are not a direct counterparty.

1.3. Account Registration and Custodial Services.

To use the Platform, you must create an account and may be required to complete identity verification (KYC/AML) processes in compliance with applicable regulations. Upon registration, you grant us permission to custody your deposited funds as described in Section 4. You represent that all information provided during registration is accurate and complete.

1.4. Third-Party Services and Integrations.

The Platform may integrate with third-party services, such as wallets, data providers, oracles, exchanges, or blockchains (e.g., Hyperliquid). Their respective terms govern your use of these services. We are not responsible for the availability, accuracy, or security of third-party services, and any interactions with them are at your own risk.

2. Eligibility & Restricted Persons

2.1. Age & Capacity.

To access the Platform, you must be at least the age of majority in your jurisdiction (e.g., 18 years old in most jurisdictions) and have the full legal capacity to enter into binding contracts. If acting on behalf of an entity, you represent that you have the authority to bind that entity.

2.2. Restricted Persons and Regions.

The Platform is not available to "Restricted Persons" or users in "Restricted Regions." Restricted Persons and users in Restricted Regions are strictly prohibited from accessing or using the Platform. For the purposes of these Terms:

• "Restricted Regions" include, but are not limited to: the United States of America, Canada, the United Kingdom, China (including Hong Kong and Taiwan), Cuba, Iran, North Korea, Syria, Myanmar (Burma), the Crimea region, Donetsk, Luhansk, and any other jurisdiction subject to comprehensive economic sanctions by the United States, European Union, United Nations, or similar authorities.

• "Restricted Persons" include: (a) citizens, residents, or entities incorporated in Restricted Regions; (b) individuals or entities subject to economic sanctions (e.g., listed on OFAC, EU, or UN sanctions lists); (c) any person or entity acting on behalf of a Restricted Person.

You must not use VPNs, proxies, or other tools to circumvent these restrictions. By using the Platform, you represent and warrant that you are not a Restricted Person and are not located in a Restricted Region.

2.3. Compliance with Laws.

You are solely responsible for ensuring that your use of the Platform complies with all applicable laws in your jurisdiction, including those related to cryptocurrency trading, taxation, and anti-money laundering. We may suspend or terminate access if we suspect non-compliance.

3. Services Description

3.1. Leveraged Trading and Other Features.

The Platform offers leveraged trading on cryptocurrencies, allowing users to amplify positions through borrowing. Leverage increases potential gains but also the risk of significant losses, including liquidation of positions. Users must assume full responsibility for the high-leverage trading positions they establish and the resulting consequences.

3.2. Fees.

We may charge fees for trading, withdrawals, or other services, as displayed on the Platform. Fees are subject to change without notice.

4. Funds Custody and Withdrawals

4.1. Custodial Model.

All user funds deposited on the Platform are held in custody by us. We employ industry-standard security measures, including cold storage, multi-signature wallets, and regular audits, to safeguard these funds. However, no system is entirely risk-free, and you acknowledge potential risks from hacks, insolvency, or other events.

4.2. Security and Insurance.

We commit to maintaining high security standards to protect custodial funds. In the event of a security breach, we may have limited insurance coverage, but we do not guarantee full reimbursement of losses.

4.3. Deposits and Withdrawals.

Users may deposit supported cryptocurrencies or fiat (where available) into their accounts. Withdrawals are processed promptly, subject to verification and network conditions. You may withdraw funds at any time, provided your account has a sufficient balance after accounting for open positions, fees, or reserves. We reserve the right to impose withdrawal limits or delays for security or compliance reasons.

4.4. No Interest on Funds.

Custodial funds do not accrue interest unless explicitly offered through a specific product (e.g., as a funder, deposit funds from the funder wallet into the Fund Vault on LeverAcc).

5. Disclaimers; Assumption of Risk

5.1. "As Is" Basis.

The Platform is provided "as is" and "as available" without warranties of any kind, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted access, error-free operation, or the accuracy of market data.

5.2. Risks Accepted.

Cryptocurrency activities involve high risks, including:

• Market volatility leading to total loss of funds.

• Leverage risks, including margin calls and liquidations.

• Blockchain risks, such as network congestion, forks, or exploits.

• Custodial risks, including potential loss from platform insolvency or cyberattacks.

• Regulatory risks, where changes in laws could affect asset values or Platform availability.

You represent that you are sophisticated in cryptocurrency matters and accept these risks.

5.3. No Advice.

Information on the Platform is not financial, legal, or tax advice. Conduct your own due diligence.

5.4. Limitation of Liability.

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform, even if advised of the possibility. Our total liability shall not exceed the fees paid by you in the preceding 12 months.

6. Prohibited Activities

You agree not to engage in:

• Unlawful activities, including money laundering or sanctions evasion.

• Intellectual property infringement.

• Cyberattacks or unauthorized access.

• Fraud, manipulation, or market abuse.

• Data scraping or automated abuses.

• Exploitation of vulnerabilities.

• Circumvention of restrictions.

We may monitor activity and terminate accounts for violations.

7. Intellectual Property

All content on the Platform, including software, trademarks, and designs, is owned by us or our licensors. You are granted a limited, non-exclusive license for personal use only.

8. Termination

We may suspend or terminate your account at any time for violations, suspected fraud, or other reasons. Upon termination, you must cease use, and we will process any remaining withdrawals subject to these Terms.

9. Dispute Resolution

These Terms are governed by the laws of Hong Kong. Any disputes shall be resolved through binding arbitration in Hong Kong under HKIAC, excluding class actions.

10. Miscellaneous

10.1. Amendments.

We may update these Terms at any time. Continued use constitutes acceptance.

10.2. Severability.

If any provision is invalid, the remainder remains enforceable.

10.3. No Waiver.

Failure to enforce a right does not waive it.
